1. Acceptance of Terms

By accessing or using the Roatify platform, website (roatify.com), and associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Roatify provides an AI-powered freight brokerage automation platform that includes intelligent load matching, automated carrier negotiations via voice AI, dynamic pricing, compliance automation, and related logistics management tools. Our Services are designed to assist freight brokerages in automating their operations but do not replace the need for licensed freight broker oversight and compliance.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans and Payment

• Subscription fees are billed on a monthly basis as specified in your selected plan.
• All fees are non-refundable unless otherwise stated or required by applicable law.
• We reserve the right to modify pricing with 30 days' advance notice.
• Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled before the trial period ends.
• Failure to pay fees may result in suspension or termination of your account.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the Services to transmit malicious code, spam, or harmful content
• Resell, sublicense, or distribute the Services without written authorization
• Interfere with or disrupt the integrity or performance of the Services
• Use our AI systems to generate misleading, fraudulent, or deceptive communications

6. AI-Powered Features

Our platform uses artificial intelligence for load matching, carrier negotiations, pricing, and automated communications. While we strive for accuracy, AI-generated outputs may contain errors. You acknowledge that AI-assisted decisions should be reviewed by qualified personnel, and Roatify is not liable for losses arising from reliance on AI-generated recommendations without human oversight. You retain responsibility for all freight transactions conducted through the platform.

7. Intellectual Property

The Services, including all content, features, algorithms, designs, and technology, are owned by Roatify and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You retain ownership of the data you input into the platform, but grant Roatify a license to use anonymized and aggregated data to improve our Services and AI models.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROATIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ROATIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.

9. Indemnification

You agree to indemnify and hold harmless Roatify, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate these Terms at any time. You may cancel your subscription by contacting us at roatify@gmail.com. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days after termination, after which it may be deleted.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROATIFY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform with at least 30 days' notice. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
